Shareholding Disclosure Monitoring Services

Background
The Teacher Retirement System of Texas (TRS) is a public pension fund and agency of the State of Texas. Its mission is to improve retirement security for Texas public education employees, retirees, and their beneficiaries by prudently investing and managing trust assets. TRS is one of the largest public pension funds in the U.S., with a market value of $207 billion as of December 31, 2024. This Request for Proposals (RFP) seeks qualified vendors to provide a comprehensive Shareholding Disclosure Solution that will assist TRS in identifying and automatically disclosing regulatory, short selling, legal, or other market/exchange-related regulations associated with its pension investment holdings.

Work Details
The contractor will provide a Shareholding Disclosure Monitoring solution that includes:

1. **Shareholder Monitoring**: Configured investment monitoring across MSCI developed and emerging markets, covering equities, bonds, derivatives, and commodities.

2. **Dashboard/Filing Task Calendar**: A customizable user interface for tracking current issues/filings and pending warnings.

3. **Exportable Reports**: Capability to generate Excel reports at both summary and individual security levels.

4. **Rules Evaluation/Platform**: Customization options for prioritizing rules, relevant news updates, required actions/warnings, and access to a rules library.

5. **Disclosures**: Historical views of disclosures with fields for confirmation IDs and notes.

6. **Securities & Markets**: Support for required identifiers like ISIN and FIGI along with corporate actions reporting.

7. **Support**: Global 24/7 support based in the U.S.

8. **Information Security**: Compliance with cybersecurity standards including SOC 2 Type II Audit or ISO 270001 certification.

Period of Performance
The initial contract term will be four (4) years from the effective date of the contract resulting from this solicitation, with two (2) optional one-year renewal periods.

Place of Performance
The services will be performed at the Contractor's location but must comply with all applicable regulations related to TRS's operations in Austin, Texas.

Bidder Requirements
Respondents must meet minimum qualifications including providing a comprehensive shareholder disclosure rule library, accurate aggregation of positions subject to filing requirements, maintaining cybersecurity standards (SOC 2 Type II Audit or ISO 270001 certification), and obtaining TX-RAMP certification if required for cloud products.
